The share and the share capital
Alelion Energy Systems AB (publ) is a VPC company, and its shares are registered in electronic form. The share book is kept by Euroclear Sweden AB, Klarabergsviadukten 63, 111 64 Stockholm. The shareholders and/or holders of other securities issued by the Company do not receive any physical share certificates, but all transactions with the Company’s securities are done electronically through registration in the VPC system through competent banks and other securities managers.
All shares belong to the same class. They carry one vote each, and are equally entitled to a share of the Company’s assets and profits, without special restrictions.
On October 31, 2020, the share capital amounted to SEK 4,463,652, distributed on 223,182,620 shares with a quotient value of SEK 0.02.
Rights Issue October 2020
Through the Rights Issue and the Overallotment Option, the total number of shares in Alelion increases to 223 182 620 shares and the share capital increases to SEK 4 463 652,40. The number of warrants of series TO2 will amount to 75 797 870. Upon full utilization of all outstanding warrants of series TO2 the total number of shares in Alelion increases to 248 448 576 shares and the share capital increases to SEK 4 968 971,52.
Three (3) warrants of series TO2 entitles the holder to subscribe for one (1) new share in the Company during the period May 14 – 28 2021 at an exercise price corresponding to 70 percent of the volume-weighted average price paid for the Company’s share on Nasdaq First North for a period of ten (10) trading days immediately preceding May 11 2021, however not less than SEK 1.0 and not more than SEK 1.75 per share. The company has one incentive program
1. After the Annual General Meeting on May 30, 2018, resolved to establish an incentive program 2018 for employees in the company, employees have acquired 161,500 warrants (a membership rate of 10.8%).
In accordance with the AGM’s resolution, 1,500,000 warrants were issued to the subsidiary Alelion Crew AB, where employees acquired 161,500 warrants on the following main terms:
Each option entitles you to during the period from on June 1, 2021 through on June 30, 2021, subscribe for a new share in the company against cash payment of SEK 15. Acquisition of an option (participation in the incentive program) requires that the employee at both the offer date and the acquisition date is permanently employed and has not resigned or been terminated. Acquisitions of options have been made against cash payment corresponding to the option’s market value at the time of the transfer in accordance with the Black & Scholes formula, which as of July 30, 2018 was set at SEK 1.72 per option by an independent valuer.
Total dilution from this program can be a maximum of 0.32%.
